Item 8.01 Other Events
On August 6, Marc Rowan, Chief Executive Officer and Director of Apollo Global Management, Inc. (“Apollo”) and Director of Athene Holding Ltd. (the “Company”) informed the Company that he has sold certain Class A common shares of the Company that he beneficially owns and that he intends to sell up to 1,000,000 Class A common shares of the Company in the aggregate (the “Aggregate Company Shares”) prior to the closing of the merger of Apollo and the Company. Following such sales, Mr. Rowan will beneficially own approximately 681,075 Class A common shares of the Company. Mr. Rowan informed Apollo and the Company that the sales of the Aggregate Company Shares are to generate liquidity to fund anticipated tax obligations arising from the previously announced conversion of Apollo’s capital structure to a single class of voting common stock, and that he does not currently have any plan or intention to sell any additional Class A common shares of the Company (other than the Aggregate Company Shares) or Class A common stock of Apollo.
